Welcome to VOROMOTORS affiliate program! Thank you for joining us.
These following terms and conditions apply to individuals who are accessing or using the Program (VoroMotors affiliate partner program) both as a Merchant (“we” or “merchant”) and an Affiliate (“you” or “affiliate”) that refers customers to use product or service from the merchant.
By participating in the Program, Affiliate agrees to use the Program in the manner specified in, and are bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you are not authorized to register as an Affiliate or participate in the Program in any manner.
We may email you concerning the Program and other VORO-related material. We reserve the right to change the Program at any time without prior notice.
1. Approve or Reject of the Registration
We reserve the right to approve or reject ANY affiliate application in our sole and absolute discretion. You will have no legal recourse against us in the case you are not permitted or are blocked from the Program.
In order to qualify to receive a commission, you must have purchased and not returned any electric scooters sold by VoroMotors within 30 days of purchase.
2. Affiliate Links and Coupon
Your affiliate link is automatically generated, but you can also generate an affiliate link for a specific product or collection. If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts.
Affiliate might or might not be assigned to one coupon code with details and usage clarified on Dashboard. If a customer both clicks on the affiliate link and uses coupon code, you will not receive a double commission. If you’re not assigned a branded coupon, then you’re not allowed to promote the coupon. Self-referrals using any methods are strictly prohibited.
3. Advertising Rules
Affiliates may advertise the Merchant website on online channels such as Facebook, Instagram, Youtube, non-spam emails and other social media channels or offline classified channel ads, magazines, and newspapers.
While deploying paid advertisements, affiliates cannot bid on keywords including any of our brand names, product names or domain names, with the following exceptions:

Failure to follow the rules of advertising stated in this terms and conditions page will result in cancellation of affiliate account and forfeiture of all commissions acquired till date.
4. Commissions and payment
Refer any customer to make a purchase on our website, you will get a commission amount which is calculated based on Commission structure - 5% commission unless stated and awarded otherwise by VOROMTOROS. Commission amount is dependent on order value and not including extra fees such as tax, shipping cost.
For an Affiliate to receive a commission, you need to specify the payment details on Settings. Payment schedule will be notified on Affiliate Guide page.
Payments will only be sent for transactions that have been successfully completed and not refunded or returned to VOROMOTORS within 30 days of purchase. Use of the Affiliate Program is subject to a fair use policy which gives merchant the right to review each and every referral order. Status of commission if displayed in Commission tab, any paid commission will be listed on Payment tab. Transactions that result in chargebacks or refunds will not be paid out.
Voro may VOID transactions that are fraudulent, or in the case of returned merchandise, duplicate transactions, or other valid reasons.
All affiliates are required to meet a minimum $100 USD threshold in commissions before a payout can be made.
Commissions will be paid via Paypal, Wire Transfer, Cheque or Cash, whichever that is chosen by the affiliate in the affiliate platform.
5. Marketing tools
We may share promotion media such as banner, logo or specific collection promotions to you through Marketing tool tab. You can download the media or get the HTML embed code in order to share on affiliate channels. Different affiliates may be given different marketing tools such as and not limited to special discounts, free products giveaway and others as set by the Merchant.

Failure to abide by these rules could mean termination from the Referral Program with a complete forfeit of Referral Rewards.
6. Cookie
We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.If a person doesn't allow cookies or clears their cookies then we can't track them so can't pay earnings on that person's activity.Cookies day is said on the Affiliate registration form. The tracking day will start from the time a customer clicks on the affiliate’s link or use the coupon. Within the cookie time, every order made by this customer at merchant website will automatically result in commissions to the affiliate (There’s no need for the customer to click on the affiliate link then).
7. Removal from Referral Program
Affiliates that have failed to abide by the terms and conditions will be blocked from the program. Affiliates that have been inactive for more than 1 year may be blocked and will need to reapply for the program. If an Affiliate wishes to be removed from the program, they can do so by contacting support@voromotors.com.
8. Fraud
Fraud is a serious offence and will be treated as such. Fraud is defined as any action that intentionally attempts to create sales, leads, or click-throughs using robots, frames, iframes, scripts, or manually “refreshing” of pages, for the sole purpose of creating commissions.*ANY ATTEMPTED FRAUD OR FRAUD WILL RESULT IN MEMBERSHIP TERMINATION AND VOIDED COMMISSIONS.*
9. Data and information
All data, information and statistics are collected and calculated by VORO MOTORS, and will be the only valid stats used for determining commissions awarded.Your physical address listed for receiving commissions MUST be your actual address. Mail forwarding programs, for the purpose of avoiding network demographics, is NOT allowed.You will not hold us liable for anything, a link to a non-Voro Web site does not mean that Voro endorses or accepts any responsibility for the content or the use of such Web site.
10. CHANGES TO THE PROGRAM
VOROMOTORS reserves the right to change, modify, add or remove portions of this Agreement at any time and may add to, change, suspend or discontinue any aspect of the Program at any time. In the event of any material change, VOROMOTORS will notify you via email, newsletter or the VOROMOTORS Web site at which time Affiliate may either agree to such changes or withdraw from the Program.
11. ACCEPTED USE
You represent to VOROMOTORS that all content you provide to the Program is solely owned by you or provided by you with the express authority of VOROMOTORS, does not infringe upon any other individual’s or organization’s rights (including, without limitation, intellectual property rights) and is not defamatory, libelous, unlawful or otherwise objectionable. You shall not provide, promote, distribute, place or otherwise publish as an affiliate of the Program any content, or websites that includes content, which is libelous, defamatory, obscene, pornographic, abusive, fraudulent or violates any law. As VOROMOTORS may not review all information provided by you, you shall remain solely responsible for your content and website. As an affiliate, you may not artificially inflate traffic counts to VOROMOTORS’ website using any device, program, robot or other means, including but not limited to JavaScript pop-up windows and redirects.VOROMOTORS RESERVES THE RIGHT TO DEEM ANY SITE INAPPROPRIATE AND TERMINATE THE SITE AS A MEMBER OF the Program. If you are terminated from the Program, VOROMOTORS has the right to withhold any commissions you earned within the Program and you will not be allowed to rejoin the Program.
12. LIMITED WARRANTY
The Program, its operation, its use and the results of such use shall be performed in a workmanlike manner. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, VOROMOTORS DISCLAIMS ALL WARRANTIES EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, IN RELATION TO THE PROGRAM, ITS USE AND THE RESULTS OF SUCH USE. WITHOUT LIMITING THE FOREGOING, VOROMOTORS SPECIFICALLY DISCLAIMS ANY WARRANTY (A) THAT THE program WILL BE UNINTERRUPTED OR ERROR-FREE, (B) THAT DEFECTS WILL BE CORRECTED, (C) THAT THERE ARE NO VIRUSES OR OTHER HARMFUL COMPONENTS, (D) THAT THE SECURITY METHODS EMPLOYED WILL BE SUFFICIENT, OR (E) REGARDING CORRECTNESS, ACCURACY, OR RELIABILITY. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.
13. LIMITATION OF LIABILITY
VOROMOTORS OR ITS SUPPLIERS OR RESELLERS OR MERCHANTS SHALL NOT BE LIABLE TO YOU OR ANY OTHER PERSON FOR (I) ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER ARISING OUT OF THE USE OF OR INABILITY TO USE THE VOROMOTORS PROGRAM OR ANY INFORMATION PROVIDED ON THE VOROMOTORS WEBSITE OR ANY OTHER HYPERLINKED WEBSITE, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER DATA, EVEN IF VOROMOTORS OR A VOROMOTORS AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS OR OTHER INACCURACIES IN THE WEB SITE OR ANY HYPERLINKED WEB SITE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, VOROMOTORS’ LIABILITY IS LIMITED TO THE SMALLEST AMOUNT PERMITTED BY LAW. THIS PARAGRAPH WILL SURVIVE THE FAILURE OF ANY EXCLUSIVE OR LIMITED REMEDY.You agree that VOROMOTORS, although the provider of the Program, has no responsibility or liability as a result of your placement of authorized links from your website, and You, and the affiliate, jointly and severally agree to indemnify, defend, and hold harmless VOROMOTORS and its Referrers, Referrees, referrers, officers, directors, employees, affiliates and agents from and against any and all liability, claims, losses, damages, injuries or expenses (including reasonable attorneys’ fees) directly or indirectly arising from or relating to any offer or any other matter related to this Agreement or the subject matter hereof and any dispute relating thereto.Voro agrees to indemnify, defend, and hold harmless Referrer, affiliates and its Referrees, referrers, officers, directors, employees and agents from and against any and all liability, claims, losses, damages, injuries or expenses (including reasonable attorneys’ fees) directly or indirectly arising from or relating to Voro’s negligence or willful misconduct in performance of the Programs or its breach of this Agreement.
14. NON-DISCLOSURE
VOROMOTORS acknowledges that in the course of this Agreement it shall have access to confidential and proprietary information (“Confidential Information”) of your company. VOROMOTORS agrees not to disclose or disseminate the Confidential Information without your prior express written consent. The term “Confidential Information” shall not include information that is or becomes part of the public domain through no action or omission of VOROMOTORS, that becomes available to Voro from third parties without knowledge by VOROMOTORS of any breach of fiduciary duty, or that VOROMOTORS had in its possession prior to the date of this Agreement. VOROMOTORS does not collect information about an affiliate’s customer transactions, other than what is passed to us through the installed tracking code and displayed on your own transaction reports. Any information we receive is used solely for tracking and commission payment purposes. VOROMOTORS reserves the right to be able to utilize this data in aggregate to analyze Program trends, monitor Program efficiencies, and perform such other analysis as VOROMOTORS deems appropriate.
15. REPRESENTATIONS
VOROMOTORS makes no representations whatsoever about any other websites which you may access through the Program. In addition, a link to a non-Voro Web site does not mean that Voro endorses or accepts any responsibility for the content or the use of such Web site.
16. NON ASSIGNABILITY
Affiliates or VOROMOTORS may assign this Agreement to any successor or affiliates upon notice to the other party and mutual agreement between both parties.
17. FORCE MAJEURE
Neither party shall be liable hereunder by reason of any failure or delay in the performance of its obligations hereunder on account of strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, governmental action, labor conditions, earthquakes or any other cause which is beyond the reasonable control of such party.
18. JURISDICTIONAL ISSUES
This Agreement shall be governed by Delaware, USA law (except for conflict of law provisions). The exclusive forum for any actions brought in connection with this Agreement shall be in the state and federal courts in and for the State of Delaware, USA and You consent to such jurisdiction. The application of the United Nations Convention on the International Sale of Goods is expressly excluded.
19. MISCELLANEOUS
This Agreement represents the complete agreement concerning this license and may be amended only by a writing executed by both parties. THE ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER. If any provision of this Agreement is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable.
